Got your Certificate of Incorporation? Great! But to legally run your business without paying heavy fines, you must complete these crucial post-incorporation steps.
1. Verify Your PAN & TAN (Received with COI)
Latest Update: Under the current Ministry of Corporate Affairs (MCA) process, you do not apply for PAN and TAN separately. Your Permanent Account Number (PAN) and Tax Deduction Account Number (TAN) are automatically generated and printed directly on your Certificate of Incorporation (COI).
- Action: Simply download your COI from the MCA portal and check your pre-allocated numbers at the bottom.
2. Execute & File LLP Agreement (Form 3)
The LLP Agreement is your business constitution. It defines partner rights, duties, and profit-sharing ratios.
- Timeline: Must be executed on stamp paper and filed within 30 days of incorporation.
- Form: MCA Form 3.
- Penalty: Delaying this step attracts late fees.
3. Open a Current Bank Account & Deposit Capital
You need a dedicated business account to start commercial operations.

- Next Step: Every partner must transfer their agreed capital contribution directly into this account via net banking or cheque.
4. Get GST Registration & Other
- GST Registration: Mandatory if your turnover crosses the threshold limit (generally ₹20 Lakhs for services / ₹40 Lakhs for goods) or if you need to claim Input Tax Credit (ITC).
- MSME / Udyam: Highly recommended for startups to unlock government subsidies and easier bank loans.
