A Limited Liability Partnership is a partnership in which some or all partners have limited liability. It therefore exhibits elements of both partnerships and corporations. In an LLP, one partner is not responsible or liable for another partner's misconduct or negligence — an important difference from an unlimited partnership.
An LLP is a body corporate and a legal entity separate from its partners, with perpetual succession. Every LLP must use the words “Limited Liability Partnership” or its acronym “LLP” as the last words of its name, and must have at least two designated partners who are individuals, with at least one resident in India.
Procedure of LLP registration
The procedure for forming an LLP is very similar to a Private Limited Company incorporation. A minimum of two partners and a registered office address within India are required to begin.
Name Approval
We file RUN-LLP for reservation of your proposed LLP name with the Registrar — usually approved within 1–2 working days if the name is unique and MCA-compliant.
Documents & DSC
While the name is being processed, we collect partner documents and apply for Digital Signature Certificates, guiding you through consent letters, subscriber sheets and NOCs.
FiLLiP Filing
We prepare and file the FiLLiP incorporation form — usually within one working day of receiving all documents. The MCA generally approves within 2–3 working days, issuing your Certificate of Incorporation along with PAN and TAN.
LLP Agreement & Form 3
We draft the LLP Agreement, pay applicable stamp duty and file Form 3 — included in our fee, with no separate charge for LLP-3 filing.

In our experience, MCA approvals themselves are fast — delays almost always come from the applicant's side: a proposed name that is too generic or similar to an existing business, documents or information arriving late, an undisclosed existing DIN for a partner, outdated registered-office proof, or a name/address mismatch across PAN, Aadhaar and bank records.
Yes — a residential address can be used as the registered office, provided you have a NOC from the owner and a recent utility bill.
A recent utility bill (electricity, gas or post-paid mobile bill, generally not older than two months) along with a No-Objection Certificate from the person named on that bill.
